General description

We provide advice to all parties to an investment venture, including startups, venture capital funds, business angels, family office entities. We offer assistance in raising capital in order to finance investment projects or in light of increasing demand for development capital.

How can we help you?

  • We will assist in raising funds by enterprises (e.g. bond issue/converted debt issue/loans)

  • We will handle the entire investment process in Polish enterprises, including start-ups (from term sheet, through legal due diligence, to investment agreement)

  • We will advise on obtaining debt and equity financing (sale of shares)

  • We will provide assistance in preparing relevant analyses and documents (business plan, investment memorandum, investment documents)

  • We will conduct a pre-investment market audit (due diligence)

  • We will guide you through consecutive rounds of financing, including mapping of investment risks, transaction structure modeling, drafting documents, offering support during arrangements and negotiations, preparation of closing or investment exit

  • We will assist in exit the investment, including determining the procedure for a controlled disinvestment from a joint venture (e.g. through put options, call options, drag&tag along rights, waterfalls schemes), transaction risk mapping, transaction structure modeling, drafting documents, offering support during arrangements and negotiations, preparation of closing, including complex relations that follow from liquidation preference, lock-up agreements, etc.

Examples of our achievements

  • Direct venture capital investment with a value of PLN 20 million (equity and convertible debt financing), scope: due diligence, investment agreement, shareholders agreement, accompanying documentation, negotiations, closing).

  • Direct venture capital investment with a value of PLN 12 million (equity and revolving debt financing), scope: due diligence, investment agreement, shareholders agreement, accompanying documentation, negotiations, closing).

  • Completing a joint venture project with a value of PLN 8 million for a company operating in new tech industry, including structuring, joint venture agreement, shareholders agreement and preparing accompanying documentation.

  • Over a dozen business angels investments in startups, scope depending on the project: transaction modeling and structuring / due diligence / negotiations / investment agreement / shareholders agreement / accompanying documentation; including cross-border projects; value of a single transaction ranging from several hundred thousand PLN to 2 million PLN.

  • Private equity fund services – including over 20 investments in seed-stage companies – investment policy, limited legal due diligence, model investment structure, model investment documentation, ongoing support in negotiations – value of a single transaction not exceeding PLN 1 million.

  • Legal, tax and compliance structuring of a transaction with a value of in excess of $1 million, implemented in stablecoin token values through an investment vehicle in the Caribbean.
